This USER AGREEMENT (hereinafter referred to as the 'User Agreement') must be read by Users of the PT Berdayakan Usaha Indonesia Platform ('Batumbu') before accessing and/or using the Batumbu Platform through the Batumbu-owned website. By accessing and/or using the Batumbu Platform, the User legally acknowledges that the User has read and understood the entire contents of this User Agreement and therefore agrees to be legally bound by this User Agreement. If the User does not agree with the terms and/or contents of this User Agreement or cannot understand the contents of this User Agreement, the User is requested not to continue accessing and/or using the Batumbu Platform.

This User Agreement is an integral part of (a) the Agreement on the Provision of Information Technology-Based Joint Funding Services between Batumbu and the Funder ('Funding Provision Agreement'), and (b) the Funding Agreement between the Funder and the Borrower ('Funding Agreement'), where the terms and conditions of this User Agreement constitute a valid, applicable, and binding agreement between the Parties.

In the event of any conflict or inconsistency between the terms and conditions of this User Agreement and the terms and conditions of the Funding Provision Agreement or the Funding Agreement, then the terms and conditions of the Funding Provision Agreement or the Funding Agreement shall prevail and be implemented.

Definitions
'API' means Application Programming Interface, or a set of sequences and functions used by developers to operate the Batumbu Platform.
'Borrower' means a party that receives funds in the Services offered on the Batumbu Platform.
'Cookie' means a file used by Batumbu's server to identify the User's device.
'Information' means any User information obtained either directly or indirectly by Batumbu through the Services.
'Batumbu' means PT Berdayakan Usaha Indonesia, a limited liability company established under the laws of the Republic of Indonesia and engaged in the business of Information Technology-Based Joint Funding Services as regulated in the Financial Services Authority Regulation No. 10/POJK.05/2022 on Information Technology-Based Joint Funding Services ('POJK 10/2022'), which is registered with and supervised by the Financial Services Authority ('OJK').
'Batumbu Platform' means the Batumbu website and/or web-based platform owned and operated by Batumbu.
'Funder' means a party that provides funds in the Services offered on the Batumbu Platform.
'Funding Provision Agreement' is the agreement for the provision of funds used in the Services which regulates the legal relationship between the Funder and Batumbu.
'Funding Agreement' is the funding agreement used in the Services which regulates the legal relationship between the Borrower and the Funder.
'OJK' or the Financial Services Authority means the Financial Services Authority of Indonesia established under Law Number 21 of 2011 concerning the Financial Services Authority.
'User Account' means the account created by the Borrower or the Funder on the Batumbu Platform which contains the User's information and Personal Data as well as Service information and other information.
'POJK No. 10/2022' means Financial Services Authority Regulation Number 10/POJK.05/2022 on Information Technology-Based Joint Funding Services.
'Services' means information technology-based joint funding services that connect Users, whether as Borrowers or Funders through the Batumbu Platform.
'User' means any person who visits, accesses and/or uses the Batumbu Platform and agrees to Batumbu’s general terms and conditions for using the Batumbu Platform.
General Terms of Use
1. Services based on the Batumbu Platform are intended for Borrowers who meet the following criteria:
  1. Individual Indonesian citizens;
  2. Legal entities or other business entities in accordance with applicable laws established under Indonesian law;
  3. Individuals who possess an Indonesian Identity Card (KTP) or are married and have a Taxpayer Identification Number (NPWP), or legal entities that have a Business Identification Number (NIB) and Taxpayer Identification Number (NPWP) and/or other licenses in accordance with applicable laws.
2. Services based on the Batumbu Platform are intended for Funders who meet the following criteria:
  1. Individual Indonesian or foreign citizens;
  2. Indonesian/foreign business entities or legal entities and/or international institutions.
3. The funding limit provided through the Services based on the Batumbu Platform does not exceed IDR 2,000,000,000 (Two Billion Rupiah) per Borrower.
4. Batumbu has the right to conduct individual due diligence on Users in accordance with applicable laws and determine whether the User meets the requirements as a user of the Batumbu Platform. Batumbu will verify, examine, review and assess each information, data, and statement provided by the User, including cooperating with third parties to verify and assess eligibility for a Funding application. Approval and/or rejection of the User's verification application is entirely at our discretion with due consideration to applicable laws and regulations.
5. If the Information provided by the User is incorrect, inaccurate, or false, then Batumbu has the right to refuse to provide the Services and/or terminate the Services provided to the User. If there are losses and/or damages incurred by Batumbu in connection with the Information provided by the User, then all such losses and/or damages shall be fully borne by the User.
6. Batumbu is not responsible for the authenticity, accuracy, and truthfulness of the Information before and after the verification of the Information conducted by Batumbu.
Registration Agreement and Use of the Batumbu Platform and/or Services
1. Users must register themselves on the Batumbu Platform and are also required to create a password to obtain a User Account and subsequently be entitled to use the Batumbu Platform.
2. With the User's prior consent, Batumbu through its systems and electronic equipment may record the User's Information by accessing the camera, location, and microphone from the User's device. This process helps Batumbu expedite the analysis and verification process of Information related to the User’s registration on the Batumbu Platform.
3. By registering, using, and accessing the Batumbu Platform and/or Services as a User, the User understands and agrees that all forms of communication from Batumbu to the User in connection with the Services through the Batumbu Platform will be conducted electronically either via email or publication on the Batumbu Platform.
4. The User agrees to receive all documents, notifications, and agreements electronically that arise from the use of the Batumbu Platform and/or Services, including the Services as a Borrower or Funder.
5. Any agreement that the User has signed electronically through the Batumbu Platform is the full responsibility of the User and binds the User as a User of the Services, including all rights and obligations arising from the agreement.
6. By agreeing to this User Agreement, you have given consent to Batumbu to obtain, use, process, store, and disclose your Information in accordance with the Privacy Policy, including but not limited to the transfer of your personal data and information to other parties, using your registered mobile phone number to contact you through various online messaging services in connection with the provision of Services.
User Registration Information
Users must register themselves on the Batumbu Platform and/or Services by providing the required Information in the electronic form provided by Batumbu (for the interest and on behalf of the Funder), which must be filled in with Information at least as stated below:
1. Indonesian Identity Card (KTP) number;
2. Place and date of birth;
3. Gender;
4. Marital status;
5. Education status;
6. Contact number;
7. Residence status;
8. Mother's maiden name;
9. Email address;
10. Emergency contact;
11. Employment information, such as:
  1. Company name;
  2. Company address;
  3. Company contact number;
  4. Monthly income;
  5. Length of employment;
  6. Type of employment;
12. Other information required by the Government or as may be needed from time to time by the Batumbu Platform in accordance with applicable laws and regulations.
User Commitments
Users agree to always comply with the following general obligations:
1. To use the Batumbu Platform and/or Services only for lawful purposes that do not violate legal provisions and regulations and further agree to carry out all activities in connection with the Services in good faith; and
2. To ensure and guarantee that all information, including but not limited to the Information that the User has provided is true, accurate, and correct, and the User does not cancel or revoke the Information that has been provided to Batumbu. Therefore, the User agrees to be responsible for the authenticity, truth, and accuracy of such information and data, and none of the Information provided to Batumbu is misleading.
3. To notify Batumbu and update any changes in the User’s Information, data, and statements provided to Batumbu or uploaded to the Platform from time to time;
4. Not to engage in acts that harm and/or may harm Batumbu and/or the Funder, including damaging reputation in any way, as well as abusive and/or fraudulent acts or transaction patterns indicated by Batumbu as suspicious financial transaction patterns;
5. To cooperate and provide any necessary information to the OJK, the government, and other law enforcement authorities in the event that the information, data, and statements you provide contradict applicable laws;
6. Not to misuse the Services for activities or actions related to money laundering or terrorism financing, vote buying, violations of social norms, financing of groups prohibited under applicable laws, financing of the trade of illegal substances (narcotics or psychotropics), and/or other activities that violate applicable laws. You hereby understand and acknowledge that (i) Batumbu has the right to report to the authorities if Batumbu finds indications of legal violations by you or if you are legally proven to have committed violations; and (ii) Batumbu has the right to block your Account and/or delay the disbursement or withdrawal of Funding, and/or take other actions relevant to applicable regulations.
Authorized Use and User Limitations
Users agree not to carry out the following activities from time to time:
1. To impersonate another person or entity or to falsely state or misrepresent the User's affiliation with another person or entity;
2. To use the Batumbu Platform or Services for purposes that are improper and/or contrary to decency, moral norms, and applicable laws and regulations;
3. To attempt to gain unauthorized access to or interfere with or disrupt other computer systems or networks connected to the Batumbu Platform or Services;
4. To display, promote, or transmit confidential information through the Batumbu Platform or Services;
5. To interfere with the use and enjoyment of the Batumbu Platform or Services by others;
6. To use the Batumbu Platform or Services other than as prescribed and in accordance with the acceptable use policy of the Batumbu Platform and/or Services.
Privacy Policy
By agreeing to these Terms and Conditions, you declare that you have read and agreed to the Batumbu Privacy Policy. Therefore, you are required to read, understand, and comprehend the Batumbu Privacy Policy carefully.
Use of Rupiah
In accordance with applicable laws and regulations and unless otherwise specified, all currency references in the User Agreement and/or use of the Services are denominated in Indonesian Rupiah with the symbol Rp or IDR.
Cookie Policy
Batumbu uses Cookies, which the User must agree to in order to fully access the Services of the Batumbu Platform. The Cookies used by Batumbu will record which parts of the Batumbu Platform the User has visited and for how long. Users have the right to refuse the use of Cookies by configuring their browser settings. Please note that such configuration may interfere with some functions of the Batumbu Platform.
Intellectual Property Matters
1. The intellectual property rights of the Batumbu Platform, including but not limited to copyrights, patents, including trademarks, logos, and symbols as well as the name for and on behalf of Batumbu are fully owned by and constitute fixed assets of Batumbu as evidenced by the Trademark Certificate with the Receipt Date of 06 September 2018 and Registration Number IDM000757017 issued by the Minister of Law and Human Rights, Directorate General of Intellectual Property of the Republic of Indonesia
2. Users are permitted to view and print on paper the information provided on the Batumbu Platform, provided that:
  1. All such copies constitute intellectual property owned by Batumbu under Batumbu’s permission; and
  2. Users do not modify the copied documents, including not removing copyright or other proprietary rights contained in the Batumbu Platform.
3. At all times when accessing the Batumbu Platform, Users agree, accept, and hereby bind themselves not to use any part or portion of the Batumbu Platform:
  1. To transmit/implant or intentionally or unintentionally spread or disseminate viruses, worms, Trojan horses, time bombs, trap doors, or computer codes, files, or programs or make repeated requests designed to disrupt, damage, or limit the function of software and hardware, telecommunication devices, or to degrade the quality, disrupt the appearance of the site, or disrupt the function of this Batumbu Platform;
  2. To upload, post, send or receive emails, or attach links to any content that may facilitate data hacking;
  3. To hack any part of this Batumbu Platform;
  4. To upload, send email, or link to any content that infringes on the intellectual property rights of third parties;
  5. To bypass or attempt to bypass security features of the Batumbu Platform;
  6. To allow any third party to perform any of the above activities;
  7. If the User uses content from the Batumbu Platform but fails to meet the terms and conditions set out in this User Agreement and/or other applicable and relevant laws and regulations regarding Data Protection, the User’s right to use the Batumbu Platform will be revoked or terminated; and
  8. No links from other sites to this Batumbu Platform may be visited without prior written consent from Batumbu. Users may not name, modify, or redistribute Batumbu Platform content without prior consent from Batumbu.
Amendments to the User Agreement
1. At its sole discretion, Batumbu may at any time amend the terms and conditions of the User Agreement. All amendments to the User Agreement will be notified to you through announcements on the Batumbu Platform or by other notification methods as may be selected by Batumbu (which may include notification via email, the telephone number registered on the Batumbu Platform, and/or other communication media).
2. If the User does not wish to accept the amended terms of the User Agreement, the User may choose not to continue using the Batumbu Platform, provided that you must first settle and pay off all your outstanding or owed obligations. If the User continues to use the Batumbu Platform after the date the amendment becomes effective, the User's use of the Batumbu Platform shall indicate acceptance and thus shall be immediately and simultaneously bound by the amended User Agreement.
Severability
If at any time any particular part or article of this User Agreement is found to be invalid or becomes invalid, unenforceable, or ineffective, the validity, enforceability, and implementation of the other provisions of this User Agreement shall not in any way be affected or impaired. Accordingly, the other parts or articles and provisions that are not invalid or unenforceable will not affect the validity or implementation of the other terms and conditions in this User Agreement. Batumbu’s failure to implement or enforce any right or provision under this User Agreement shall not constitute a waiver of such right or provision or any other circumstance.
Force Majeure
No party shall be held liable for the failure to perform its obligations under this User Agreement if such failure is caused by a force majeure event, provided that the party experiencing the force majeure event shall continue to perform such obligations immediately after the force majeure event ceases or subsides. For the purposes of this User Agreement, 'Force Majeure' means any event beyond the control of any Party including but not limited to natural disasters, statutory provisions or government policies prohibiting the provision of Services and/or use of the Batumbu Platform, surrounding conditions and contamination of land or subsurface layers by hazardous materials, extreme weather conditions, nuclear waves and pressures, or other physical or natural disasters, shortages or restrictions on electricity supply, fire, strikes, lockouts or other industrial disturbances, war, rebellion, riot, epidemics, mass strikes or riots, terrorism, landslides, earthquakes, civil disturbances, explosions, and other similar events that (i) are beyond the control of the Parties, (ii) are not reasonably foreseeable by the Parties after conducting reasonable due diligence, and (iii) cannot be overcome by any Party.
Limitation of Liability
1. Batumbu or its employees shall not be liable for and are not obligated to provide compensation in any form or manner for any breach by the User of the terms and conditions of the User Agreement, the Funding Agreement, the Funding Provision Agreement, or any related agreement or document.
2. The User at all times acknowledges and ensures that messages sent via internet connections cannot be fully guaranteed for security and may be delayed, lost, or altered. Batumbu is not responsible for messages that are lost, altered by third parties, or delayed and Batumbu is not liable in any form or manner to the User or anyone else for damages or other issues related to messages sent by the User to Batumbu or by Batumbu to the User via internet connection.
Indemnity
Users agree to indemnify, release, and hold harmless Batumbu, including its affiliates, shareholders, directors, commissioners, employees, subcontractors, providers, and agents from and against any claims, lawsuits, losses, damages, including legal consultant fees, caused by violations of the User Agreement or other provisions set by Batumbu by the User.
Termination
Users agree that in the event of a breach by the User of the User Agreement or applicable laws and regulations, Batumbu may unilaterally delete the User Account, restrict the User’s access to the Batumbu Platform, and terminate the User’s Services. Users further agree that all losses, both material and immaterial, arising from such deletion, restriction, and/or termination of User access shall be the sole responsibility of the User.
Governing Law and Dispute Resolution
1. This User Agreement and other non-contractual obligations arising from or in connection with it shall be governed by and construed under the laws of the Republic of Indonesia.
2. The Parties agree that if there are differences, disputes, conflicts, or controversies arising from or in connection with this Agreement or its implementation, including but not limited to questions regarding the existence, validity, or rights and obligations of each Party (hereinafter referred to as a “Dispute”), the Parties shall attempt to resolve the Dispute amicably within 30 (thirty) calendar days from the receipt of the notice of Dispute by one Party or Parties from the other Party (as applicable) regarding the existence of the Dispute. Alternatively, it may be resolved through the Financial Services Sector Alternative Dispute Resolution Institution (LAPS SJK) or another institution regulated under applicable regulations. If the Dispute is not resolved amicably among the relevant Parties within the above 30 (thirty) calendar day period, then such Dispute shall be resolved in the District Court of South Jakarta. For the avoidance of doubt, this Agreement and the rights and obligations of the relevant Parties hereunder shall remain in full force and effect pending the outcome of such court proceedings.
3. The Parties further waive the applicability of laws regarding arbitration and alternative dispute resolution in Indonesia.
